1. Acceptance of Terms
By using roboticstaiwan.com (the "Platform") you agree to these Terms of Service ("Terms"). They are an agreement between you and , operating RoboticsTaiwan.com ("RoboticsTaiwan.com," "we," "us," or "our"). We may revise these Terms; revised Terms take effect when posted with a new "Last updated" date.
2. The Service
Sourcing requests. The Platform lets buyers submit requests for robot components. We screen each request, search for suitable manufacturers, primarily in Taiwan, and may introduce the buyer to one or more of them.
Commercial arrangements with suppliers. We may enter into agreements with suppliers in connection with introductions, and compensation under them may be fixed or depend on the outcome of an introduction. Any such arrangement is between RoboticsTaiwan.com and the supplier and does not change the terms of any transaction between a buyer and a supplier. Supplier fees do not affect which suppliers we introduce.
Sourcing engagements. For some sourcing requests, we may offer the buyer a scoped sourcing engagement for a fixed fee. Any such engagement is agreed in writing, with its scope, deliverable and fee, before work begins, and is governed by those written terms. A sourcing engagement is a research and introduction service: RoboticsTaiwan.com does not become party to any transaction between the buyer and a supplier, and the fee does not depend on whether a transaction results. Where a buyer has paid for a sourcing engagement, no commission or introduction fee is charged to suppliers in respect of introductions made under that engagement.
3. Eligibility
By using the Platform you represent that:
- You are at least 18 and have authority to act for yourself or the entity you represent.
- You are not located in, controlled by, or a national or resident of a country or territory subject to comprehensive sanctions by the United States, the European Union, the United Nations or the United Kingdom.
- You are not designated on any restricted-party list maintained by the U.S. OFAC or BIS, the European Union, the UN Security Council, the United Kingdom, Taiwan's SHTC Entity List, or any other applicable authority.
- Your use of the Platform will not violate any applicable law, including export control, sanctions and anti-corruption laws.
4. Our Role
Introductions only. We are not a party to any transaction between buyers and suppliers. We do not manufacture, sell, import, export, ship or take possession of any product, and we do not negotiate prices or conclude contracts on behalf of either party.
No endorsement. An introduction reflects our assessment of capability fit. It is not an endorsement, a recommendation, or a representation that the supplier is the best available for your requirement. You are responsible for your own due diligence.
No professional advice. Content on the Platform is for information only and is not legal, export-control, trade-compliance or other professional advice.
5. Sourcing Requests
By submitting a request you agree that:
- The information you give, including your identity, company and country, is accurate.
- We screen requests against sanctions lists. Requests may be held for review or declined based on screening, and we are not obliged to give reasons.
- We do not guarantee that we will find a supplier, or that any supplier will respond to, accept or fulfill a request.
- Any transaction that results is solely between you and the supplier.
You may not use the Platform to submit false information, to solicit any transaction that would breach export-control or sanctions law, or to acquire goods for prohibited end users, end uses or destinations.
Sanctions screening is a compliance measure on our side. It does not replace the buyer's or supplier's own compliance obligations, and we do not guarantee its accuracy or completeness.
6. Export Control and Trade Compliance
Buyers and suppliers are each responsible for their own compliance with applicable export control, sanctions and import laws, including the U.S. Export Administration Regulations, OFAC sanctions programs, EU dual-use regulations, and Taiwan's Foreign Trade Act and Strategic High-Tech Commodities controls. We do not provide export classification, licensing or compliance certification.
7. Origin Information
With each introduction we may pass on what the supplier has told us about component origin, such as magnet origin, bearing steel and subcontracting. These answers come from the supplier. We do not verify or certify them, and they are not a warranty that any product is free of components from any particular country. You are responsible for your own supply-chain due diligence.
8. Intellectual Property
Platform content is owned by RoboticsTaiwan.com or its licensors. We grant you a limited, non-exclusive, revocable license to use the Platform for your internal business purposes.
9. Prohibited Conduct
You agree not to use the Platform unlawfully; provide false or misleading information; circumvent screening, security or access controls; scrape or access the Platform by automated means without our written consent; transmit malicious code; impersonate any person or entity; or disrupt the Platform.
10. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR ACCURACY. WE DO NOT WARRANT THE ACCURACY OF ANY SUPPLIER INFORMATION, ORIGIN STATEMENT OR SCREENING RESULT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROBOTICSTAIWAN.COM AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AFFILIATES ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM, ANY SUPPLIER OR OTHER THIRD PARTY, OR ANY TRANSACTION RESULTING FROM AN INTRODUCTION. OUR TOTAL LIABILITY IS LIMITED TO ONE HUNDRED U.S. DOLLARS ($100).
12. Indemnification
You agree to indemnify and hold harmless RoboticsTaiwan.com from claims arising from your use of the Platform, your breach of these Terms or of any law, any request you submit, or any transaction you enter into with a supplier.
13. Governing Law and Disputes
These Terms are governed by the laws of [jurisdiction — to be confirmed]. Disputes will first be negotiated in good faith and, failing that, resolved by binding arbitration conducted in English. Either party may seek injunctive relief to protect intellectual property.
14. Termination, Severability, Entire Agreement
We may suspend or end your access at any time. If any provision is unenforceable, the rest remain in effect. These Terms and our Privacy Policy are the entire agreement between you and us about the Platform.
